Public Offer

1. General provisions
1.1. This public offer on the provision of a charitable donation (the “Offer”), in accordance with Article 641 of the Civil Code of Ukraine, is a proposal by the Civic Organization “VARTIST SVOBODY” (The Cost of Freedom), legal entity identification code 45660480, located at: 8a Leonida Kadeniuka Ave., apt. 4, Kyiv, 02105, Ukraine, represented by the Head of the Organization Nazar Andriyovych Halych, acting on the basis of the Charter, to an indefinite number of legally capable natural persons and private-law legal entities who voluntarily carry out charitable activity (each such person hereinafter — the “Benefactor”), to conclude an agreement on the provision of a charitable donation (the “Agreement”) on the terms described in this Offer, with each Benefactor who applies.
1.2. This Offer enters into force from the moment it is posted on the Organization’s website on the Internet at: https://costfreedom.com/ (the “Website”). This Offer is open-ended and may be amended or withdrawn by the Organization at any time (prior to its acceptance by the Benefactor) by posting the relevant information on the Website.
1.3. The Organization may conclude agreements on the provision of a charitable donation in another manner and/or on terms other than those provided for in this Offer. A Benefactor may contact the Organization separately to conclude such an agreement.
2. Subject of the Agreement
2.1. The subject of this Agreement is the gratuitous and voluntary transfer by the Benefactor, into the ownership of the Organization, of funds, by means of a charitable donation for carrying out the statutory activities of the Organization. The Benefactor independently determines the amount of the charitable donation. The Organization independently determines the directions of use of the charitable donation within its own statutory activities, unless otherwise specified by the Benefactor in the manner defined by this Agreement. The subject of this Agreement is not the receipt, directly or indirectly, of profit by either Party to the Agreement.
2.3. If desired, the Benefactor may specify the designated purpose of the charitable donation by choosing among the programs (projects) and goals announced by the Organization.
3. Activities of the Organization
3.1. The Organization carries out its activities in accordance with its Charter, in particular: the formation and development of civil society, strengthening the capacity of local and national hubs that implement socially important initiatives, and ensuring respect for the rights and interests of the citizens of Ukraine in various spheres of life.
3.2. The activities of the Organization are not aimed at making a profit.
3.3. Information about the Organization’s activities and reports on the results of such activities are posted on the Website.
4. Making a donation
4.1. The Benefactor independently determines the amount of the charitable donation.
4.2. A charitable donation is voluntary and is not subject to subsequent return to the Benefactor.
4.3. In accordance with this Offer and the Agreement, charitable donations are provided by Benefactors and used by the Organization to carry out and support its statutory activities. The Benefactor agrees to such designated use of their donation.
4.4. Method of making a charitable donation: a one-time payment.
5. Rights and obligations of the parties
5.1. The Organization undertakes to use the funds of the Benefactor’s charitable donation in strict accordance with the legislation of Ukraine and only within the framework of its statutory activities.
5.2. The Organization has the right to independently determine the directions of use of the charitable donation in accordance with its statutory activities and the legislation of Ukraine, except in cases where the Benefactor has specified a particular purpose for their donation under a separate agreement with the Organization. Thus, if a specific purpose of the charitable donation is not specified by the Benefactor, the donation is deemed to have been made for the Organization’s statutory activities.
5.3. The Benefactor has the right to receive information about the use of their charitable donation. For this purpose, the Organization may post financial reports on the Website, which, among other things, contain information regarding (I) the amounts of donations received during the reporting period and the expenditures. At the written request of the Benefactor, the Organization may also confirm the designated use of the charitable donation with additional documents. Access to reports on the use of charitable donations is provided by the Organization in the manner and within the time limits provided for by the current legislation of Ukraine and this Offer.
5.4. By making a charitable donation, the Benefactor unconditionally affirms (I) their legal capacity, (II) the voluntary nature of entering into the transaction, (III) that the subject of the charitable donation is not under prohibition or arrest, is not pledged, is not encumbered by any other rights of third parties, and was not acquired in violation of the Law of Ukraine “On Preventing and Counteracting the Legalization (Laundering) of the Proceeds of Crime, the Financing of Terrorism and the Financing of the Proliferation of Weapons of Mass Destruction”. If the Organization has reasonable doubts regarding these statements, the Organization has the right to request, and the Benefactor undertakes to provide, the relevant supporting evidence of these statements.
6. Acceptance
6.1. Acceptance is the full and unconditional acceptance of the Public Offer by performing actions to make a money transfer using the payment forms and means posted on the Website, as well as by transferring funds to the Organization’s settlement account through banking institutions. The moment of Acceptance is the date of the money transfer and/or the crediting of funds to the Organization’s bank settlement account.
6.2. Acceptance of the Offer means that the Benefactor agrees with all of its provisions and fully understands and agrees with the subject of the Agreement, with the purpose of the public collection of donations, and with the Organization’s right to use part of the Benefactor’s charitable donation for the Organization’s administrative expenses, in an amount no greater than provided for by the legislation of Ukraine.
6.3. The Benefactor and the Organization, guided by Articles 639, 641 and 642 of the Civil Code of Ukraine, agree that from the moment of Acceptance the Agreement is deemed to be concluded. The Parties agree that the parties’ failure to observe the written form of the transaction does not render it invalid.
6.4. The Organization processes the Benefactor’s personal data provided when visiting the Website and/or making a money transfer (the “personal data”) for the purpose of the proper implementation of this Agreement and its statutory activities. Detailed information on the procedure for processing personal data by the Organization is set out in the Privacy Policy.
7. Final provisions
7.1. The relations between the Benefactor and the Organization are governed by the provisions of the current legislation of Ukraine.
7.2. The Organization’s liability for a breach of this Agreement or of the procedure for using charitable donations arises on the grounds, in the amount and in the manner determined by the requirements of the current legislation of Ukraine.
7.3. In the event of disputes between the parties to this Agreement, they shall be resolved through negotiations. If it is impossible to resolve disputes through negotiations, the disputes shall be considered by the courts in the manner established by the current legislation of Ukraine.
